Article 1 Name

The name of this organization shall be the Association of Parish Business Administrators (APBA) of the Archdiocese of Saint Paul and Minneapolis.

Article 2 Mission

The mission of APBA shall be: to strengthen and enhance the profession and ministry of parish business administration; to advocate and represent the issues and concerns of parish business administration; and to collaborate respectfully with all those we encounter.

Article 3 Membership

There shall be four classifications of membership in APBA. Active Members are those who are currently employed in an Archdiocese parish and hold a position in parish business administration. Emeritus Members are those who have retired from employment in an Archdiocesan parish and who previously held a position in parish business administration. Associate Members are those who are not currently employed in an Archdiocese parish, but who hold a position of parish business administration. Professional Colleagues are those who do not meet the definition for Active or Associate membership, but who desire to support APBA, its mission, and its programs.

Article 4 Officers

The officers of APBA shall be Past-Chair, Chair, Chair-Elect, Secretary, and Treasurer.

Article 5 Meetings

APBA shall hold regularly scheduled meetings.

Article 6 Committees

APBA Officers shall serve as the Executive Committee. Other committees shall be appointed as necessary.

Article 7 By-Laws

APBA shall adopt By-Laws for the conduct of its business and shall amend them as necessary.

Article 8 Amendments

APBA may amend this Constitution by a majority vote of 80 percent of the members present at a meeting of which there is a quorum present. Proposed amendments shall be in writing and distributed to all members at least 30 days before the meeting at which a vote will take place. Written ballots shall be required for all votes on proposed amendments.

Article 1 Definitions

Section 1: APBA means the Association of Parish Business Administrators of the Archdiocese of
St. Paul and Minneapolis.

Section 2: An Active Member is an individual currently employed in an Archdiocesan parish and who holds a position in parish business administration.

Section 3: Emeritus Members are those who have retired from employment in an Archdiocesan parish and who previously held a position in parish business administration

Section 4: An Associate Member is an individual not currently employed in an Archdiocesan parish, but who holds a position in parish business administration.

Section 5 A Professional Colleague is an individual who does not meet the definition for Active or Associate Member, but who desires to join in the support of APBA, its mission, and its programs. APBA will not have Professional Colleagues who are engaged in a business or activity which offers goods or services for profit.

Section 6: A Representative is an Active Member elected for a specific term and empowered by APBA to officially represent its views.

Section 7: A Task Force is a short-term group of members who volunteer for an assigned, specific task. It reports back to APBA as necessary and its function ceases upon completion of the task.

Section 8: A Liaison is an APBA member who relays communication from another organization to APBA.

Section 9: Quorum means 25 members.


Article 2 Standards of Membership

Section 1: All members shall meet one of the four definitions of membership.

Section 2: All members shall agree to be governed by the APBA Constitution and By-Laws.

Section 3: If a member changes membership classification, the change takes place ipso facto.

Section 4: Members shall report any change in membership classification to the Treasurer.

Section 5: All members shall pay annual dues.

Section 6: The membership year shall run from September 1 through August 31.


Article 3 Conduct of Meetings

Section 1: The regularly scheduled membership meetings of APBA shall be on the second Thursday of the months September through May. A retreat may replace one of the regularly scheduled membership meetings.

Section 2: An agenda shall be prepared by the Chair and mailed by the Secretary to all members ten days prior to any meetings.

Section 3: Regular scheduled membership meetings shall include the following elements:

: Prayer
: Program (optional)
: Call to order and confirmation of quorum
: Approval of previous meeting’s minutes
: Review and approval of agenda
: Reports
: Open Forum
: Adjournment

Section 4: A special membership meeting may be called by the Executive Committee or by the written request of six members to the Executive Committee. Notice shall be mailed to all members stating the date, time, place, and purpose of the special meeting ten days prior to the meeting.

Section 5: A quorum is required for the transaction of business at any meeting.


Article 4 Decision Making

Section 1: Questions and matters proposed for APBA consideration shall be decided by a majority vote of 80 percent of members present at meeting of which there is a quorum present.

Section 2: Rules contained in “Robert’s Rules of Order - Newly Revised” shall govern in specific decisions.

Section 3: Written ballots shall be required for all votes on Election of Officers, Election of Representatives, Amendments to By-Laws, and Amendments to Constitution.


Article 5 Executive Committee

Section 1: The Executive Committee shall consist of the elected Officers of APBA: Past-Chair, Chair, Chair-Elect, Secretary, and Treasurer.

Section 2: The Executive Committee shall be empowered to manage the affairs of APBA between meetings.

Section 3: The Executive Committee shall interpret the APBA Constitution and By-Laws and shall advise APBA members of such interpretations. Interpretations made by the Executive Committee may be overruled by APBA members with a majority vote of 80 percent of members present.

Section 4: The Executive Committee shall facilitate the election process for Officers and Representatives.

Section 5: The Executive Committee shall be charged with the responsibility of ensuring compliance with APBA Constitution and By-Laws.


Article 6 Terms of Office

Section 1: The office of Chair-Elect shall be filled for a three-year term, serving the first year as Chair-Elect, the second year as Chair, and the third year as Past-Chair.

Section 2: The office of Chair shall be automatically filled by the out-going Chair-Elect.

Section 3: The office of Past-Chair shall be automatically filled by the out-going Chair.

Section 4: The offices of Secretary and Treasurer shall be filled for a one-year term, which may be renewed once.

Section 5: No person may serve more than five consecutive years as an Officer of APBA.

Section 6: The terms of office for APBA Officers shall begin at the conclusion of the May meetings each year.

Section 7: The terms of office for Representatives vary depending upon the requesting organization.

Section 8: All Representatives shall serve specific and limited terms.

Section 9: No person may serve more than six consecutive years as a Representative of APBA.

Article 7 Duties of Officers

Section 1: The Chair-Elect shall:

• Hold the responsibility for planning and organizing the time, place, and program
for APBA meetings.

• Act on behalf of the Chair in his/her absence.

Section 2: The Chair shall:

• Hold the responsibility for preparing the agenda for and presiding at all regular and
special APBA membership meetings and Executive Committee meetings.

• Hold the responsibility for preparing an annual budget for review by the Executive Committee.

• Confirm the presence of a quorum before any business is transacted.

• Represent APBA when no formal Representative has been elected and empowered by the membership.

Section 3: The Past-Chair shall:

• Act for the Chair in the combined absence of the Chair and Chair-Elect.

• Supervise the counting of written ballots.

• Hold the responsibility for orientation of new members.

• Hold the responsibility for an annual Play Day for members.

Section 4: The Secretary shall:

• Hold the responsibility for meeting minutes, mailings, and other APBA communications.

• Provide the membership with an annually updated roster.

Section 5: The Treasurer shall:

• Hold the responsibility for sending out dues notices, receiving all funds collected, making all payments, and making periodic financial reports.

• Ensure two Officers sign all APBA payment vouchers.

• Interpret questions regarding membership classification.


Article 8 Election of Officers

Section 1: The Executive Committee shall facilitate the annual election of Officers.

Section 2: Only Active Members shall be eligible to serve as APBA Officers.

Section 3: At the April APBA membership meeting, the membership shall participate in a process of prayerful and thoughtful consideration to surface a pool of names from which recruitment of candidates will take place.

Section 4: The Executive Committee shall prioritize, recruit, and recommend candidates from the pool to be presented to the membership at the May meeting.

Section 5: Written ballots shall be provided listing one candidate per office to be filled. Write-in votes shall be allowed. No nominations from the floor shall take place.

Section 6: Approval of each office to be filled shall require a majority vote of 80 percent of members present.

Section 7: The annual election of Officers shall be held in conjunction with the election of Representatives.



Article 9 Election of Representatives

Article 10 Vacancies in Office

Section 1: A duly elected Officer or Representative, who changes from an Active Member classification, may continue to serve in that position no longer than the month of May following the change in membership classification.

Section 2: A duly elected Officer’s or Representative’s position becomes vacant through death, resignation, or removal.

Section 3: In the event of a vacancy in the office of Chair, the Chair-Elect shall immediately assume the office of Chair.

Section 4: In the event of a vacancy in any other Officer’s or Representative’s position, the Chair shall appoint an Active Member to fill the vacancy until the month of May following the vacancy. The appointment must be confirmed by the APBA membership and requires ten days written notice and a majority vote of 80 percent of members present.

Section 5: All vacancies shall be filled for any remainder of the original term at the May meeting following the vacancy in conjunction with the annual election of Officers and Representatives.

Section 6: Active Members who fill a vacancy for six or more months shall be deemed to have served one year of eligibility for continued service.

Section 7: Vacancies shall be filled as soon as is reasonably possible, but no later than the second regular meeting after the vacancy has occurred.



Article 11 Removal from Office

Section 1: Any duly elected or confirmed Officer or Representative may be removed from office for failure to execute the duties and responsibilities of their position.

Section 2: Written complaints, signed by five Active Members, shall be delivered to any member of the Executive Committee.

Section 3: The Executive Committee shall make an investigation into the complaints.

Section 4: The Executive Committee shall make any recommendations for removal to the APBA membership.

Section 5: The recommendation for removal from office shall require ten days written notice to the membership and a majority vote of 80 percent of members present.

Section 6: The time between receiving a written complaint and making a recommendation to the APBA membership shall not exceed 60 days.


Article 12 Amendments

Section 1: Proposed amendments to these By-Laws shall be in writing and distributed to all members at least 30 days before the meeting at which a vote will take place.

Section 2: Approval of any amendments shall require a majority vote of 80 percent of members present.

Section 3: Written ballots shall be required for all votes on proposed amendments.
